Terms of Service

Welcome to the United States Karaoke Association website (the “USKA”). These Terms of Service (“Terms”) govern your use of the USKA website located at www.uskakaraoke.com (the “Site”), as well as any services, features, or content provided by USKA through the Site. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site.

  1. Acceptance of Terms: By accessing or using the Site, you agree to be bound by these Terms in their entirety, as well as any additional terms and conditions that may apply to specific features or services offered on the Site.

  2. Use of the Site: You may use the Site for your personal, non-commercial purposes only. You agree not to use the Site for any unlawful or prohibited purpose.

  3. Registration: In order to access certain features of the Site, you may be required to register for an account. When registering for an account, you agree to provide accurate, current, and complete information about yourself as prompted by the registration form, and to maintain and promptly update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account, and you agree to accept responsibility for all activities that occur under your account or password.

  4. Content: The Site may allow you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material (“Content”). You retain ownership of any Content you submit to the Site, but by submitting Content, you grant USKA a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform such Content in connection with the Site.

  5. Prohibited Conduct: You agree not to engage in any conduct that, in USKA’s sole discretion, restricts or inhibits any other user from using or enjoying the Site, or which may expose USKA or its users to any harm or liability. Prohibited conduct includes, but is not limited to, the following:

    • Using the Site in any manner that could damage, disable, overburden, or impair the Site or interfere with any other party’s use of the Site.
    • Uploading, posting, or transmitting any Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable.
    • Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
    • Uploading, posting, or transmitting any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation.
    • Uploading, posting, or transmitting any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment.

  6. Intellectual Property: All content on the Site, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of USKA or its licensors and is protected by United States and international copyright laws. The compilation of all content on the Site is the exclusive property of USKA and is protected by United States and international copyright laws.

  7. Third-Party Links: The Site may contain links to third-party websites or resources. You acknowledge and agree that USKA is not responsible or liable for: (a) the availability or accuracy of such websites or resources; or (b) the content, products, or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by USKA of such websites or resources or the content, products, or services available from such websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources.

  8. Disclaimer of Warranties: THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. USKA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. USKA DOES NOT WARRANT THAT THE SITE OR ANY CONTENT, PRODUCTS, OR SERVICES AVAILABLE THROUGH THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM USKA OR THROUGH THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

  9. Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL USKA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THESE TERMS, THE SITE, OR ANY CONTENT, PRODUCTS, OR SERVICES AVAILABLE THROUGH THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT USKA HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

  10. Indemnification: You agree to indemnify, defend, and hold harmless USKA, its officers, directors, employees, agents, and third parties, for any losses, costs, liabilities, and expenses (including reasonable attorneys’ fees) relating to or arising out of your use of or inability to use the Site, any violation by you of these Terms, or any alleged infringement by you of any intellectual property or other right of any person or entity.

  11. Modification of Terms: USKA reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, USKA will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at USKA’s sole discretion.

  12. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflicts of law provisions. You agree to submit to the personal jurisdiction of the state and federal courts located in Franklin County, Ohio for any actions for which we retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a our copyrights, trademarks, trade secrets, patents, or other intellectual property or proprietary rights.

  13. Entire Agreement: These Terms constitute the entire agreement between you and USKA regarding your use of the Site, superseding any prior agreements between you and USKA regarding the Site.
